1. Introduction

Welcome to Cars ERP. These Terms and Conditions (“Terms”) govern your access to and use of the Cars ERP platform, website, mobile applications, software, and related services (collectively, the “Service”).

Cars ERP is operated by Peham (Private) Limited (“Peham,” “Company,” “we,” “us,” or “our”), a company incorporated in Pakistan.

By creating an account, accessing, or using Cars ERP, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service.

2. Account Registration

To use Cars ERP, you must create an account and provide accurate, current, and complete information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.

  • Restricting access to your account.

  • All activities performed under your account.

  • Managing access and permissions for your employees and authorized users.

  • Keeping your account and business information accurate and up to date.

You must immediately notify us of any unauthorized use of your account, compromised credentials, or suspected security breach.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

If you create an account on behalf of a company, dealership, workshop, partnership, or other legal entity, you confirm that you have the authority to bind that entity to these Terms.

3. Use of the Service

Cars ERP is a cloud-based automotive business management and ERP platform designed to help businesses manage their operations, including but not limited to:

  • Vehicle inventory management

  • Customer management

  • Vehicle sales and quotations

  • Vehicle purchase management

  • Accounting and financial records

  • Workshops and service management

  • Spare parts inventory

  • Employee and user management

  • Reports and business analytics

  • Vehicle documentation and related records

  • Business transactions and operational records

Cars ERP is a business management tool and is not a tax advisor, accountant, lawyer, financial advisor, vehicle-registration consultant, or regulatory compliance consultant.

You are solely responsible for determining and complying with the laws, tax requirements, registration requirements, accounting requirements, and other regulations applicable to your business.

You agree to use the Service only for lawful business purposes.

You may not:

  • Violate any applicable laws or regulations.

  • Use Cars ERP for fraudulent, unlawful, or deceptive activities.

  • Enter knowingly false, misleading, or fraudulent vehicle or customer information.

  • Record false vehicle registration numbers, chassis/VIN numbers, engine numbers, mileage, ownership information, or transaction values.

  • Use the Service to facilitate vehicle fraud, document fraud, money laundering, tax evasion, or other unlawful activities.

  • Attempt to gain unauthorized access to any account, system, or data.

  • Interfere with the operation, availability, or security of the Service.

  • Upload viruses, malware, or malicious code.

  • Reverse engineer, copy, resell, sublicense, or exploit the Service without authorization.

  • Use unauthorized automated requests, security probing, load testing, or other activities that may affect the integrity or performance of the Service.

4. Subscription and Payments

Cars ERP is provided as a subscription-based Software as a Service (SaaS) platform.

By subscribing to Cars ERP, you agree to:

  • Pay all applicable subscription fees.

  • Pay applicable taxes or governmental charges where required.

  • Provide and maintain accurate billing information.

  • Comply with the payment terms applicable to your selected subscription plan.

Subscriptions may be offered on a:

  • Monthly

  • Quarterly

  • Annual

basis, unless otherwise agreed.

Subscriptions may automatically renew according to the applicable subscription plan unless cancelled before the renewal date.

Unless required by applicable law or expressly stated otherwise, subscription payments are non-refundable.

Failure to make required payments may result in suspension or termination of your access to the Service.

5. User Responsibilities

You are responsible for:

  • The accuracy, completeness, and legality of all data entered into Cars ERP.

  • The accuracy of vehicle information, including registration numbers, chassis/VIN numbers, engine numbers, mileage, ownership information, and related records.

  • The accuracy of customer, supplier, sales, purchase, inventory, workshop, payment, and financial information.

  • Managing user permissions within your organization.

  • Maintaining secure passwords and account credentials.

  • Ensuring your employees and Authorized Users use the platform responsibly.

  • Maintaining independent backups of important business and statutory records.

  • Ensuring that your business complies with all applicable laws and regulations.

Cars ERP records, calculates, and reports information based on the data and configurations provided by you and your Authorized Users.

Cars ERP does not independently verify the accuracy, completeness, authenticity, ownership, or legality of your data.

Any report, invoice, quotation, calculation, inventory record, financial record, or other output generated by the Service is provided on an “as entered and as configured” basis.

Cars ERP is not responsible for losses, penalties, claims, or other consequences resulting from inaccurate, incomplete, unauthorized, or unlawful data entered into the Service.

6. Data Ownership

You retain ownership of all business data you upload, enter, generate, or store in Cars ERP, including:

  • Customer records

  • Vehicle information

  • Vehicle history

  • Sales records

  • Purchase records

  • Accounting and financial data

  • Inventory records

  • Workshop and service records

  • Spare parts information

  • Documents

  • Images

  • Quotations and invoices

  • Reports

  • Employee and operational records

We do not claim ownership of your business data.

By using the Service, you grant Cars ERP and Peham a limited right to store, process, transmit, and otherwise handle your data solely as necessary to provide, maintain, secure, and improve the Service and to fulfill our obligations under these Terms and our Privacy Policy.

You remain solely responsible for maintaining the accuracy and legality of your data.

7. Data Security and Backup

We implement commercially reasonable technical and organizational measures designed to protect Customer Data and the Cars ERP infrastructure.

However, no online service or storage system can guarantee absolute security.

You are responsible for:

  • Keeping your account credentials secure.

  • Managing user access and permissions.

  • Preventing unauthorized access to your account.

  • Maintaining appropriate security practices on your devices and systems.

  • Maintaining independent backups of important business and statutory records.

Any backup functionality provided by Cars ERP is provided as a convenience and should not be considered a replacement for your own independent backup and record-keeping obligations.

8. Intellectual Property

Cars ERP, including its:

  • Software

  • Source code

  • User interface

  • User experience and designs

  • Databases and underlying technology

  • Graphics

  • Logos

  • Branding

  • Documentation

  • Features and workflows

is owned by Peham (Private) Limited or its licensors and is protected under applicable intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service solely for your internal business operations during your active subscription.

You may not:

  • Copy the Service.

  • Modify or reproduce the Service.

  • Sell or resell the Service without authorization.

  • Redistribute or sublicense the Service.

  • Reverse engineer or decompile the Service.

  • Attempt to obtain or derive the source code.

  • Create a competing product using the Service.

  • Remove proprietary notices or branding.

  • Create derivative works from the Service without prior written permission.

9. Service Availability

We aim to maintain reliable and high availability of Cars ERP.

However, we do not guarantee uninterrupted, error-free, or continuous access to the Service.

Access may occasionally be affected by:

  • Scheduled maintenance

  • Software updates

  • Infrastructure issues

  • Internet or network failures

  • Power outages

  • Security incidents

  • Third-party service failures

  • Government actions

  • Events beyond our reasonable control

We reserve the right to modify, improve, update, suspend, or discontinue features of the Service where reasonably necessary.

Where practical, we may provide notice of significant planned maintenance or changes.

10. Third-Party and Government Services

Cars ERP may integrate with or provide connectivity to third-party services, including:

  • Payment gateways

  • SMS and messaging providers

  • Email services

  • Cloud storage providers

  • Accounting systems

  • Government systems

  • Tax or revenue systems

  • Vehicle-registration or related services

  • Other business software and APIs

These integrations may require separate accounts, permissions, configurations, or acceptance of third-party terms.

Cars ERP is not responsible for:

  • Third-party service availability.

  • Third-party downtime.

  • Third-party security practices.

  • Changes to third-party APIs or systems.

  • Third-party policies or terms.

  • Data or results generated by third-party systems.

If a third-party or Government Authority system becomes unavailable, changes its specifications, rejects a request, or experiences technical issues, we may make commercially reasonable efforts to maintain compatibility, but we do not guarantee uninterrupted connectivity.

Using an integration does not transfer your legal, tax, reporting, registration, or compliance obligations to Cars ERP.

You remain responsible for verifying that required submissions, transactions, records, or filings have been successfully processed by the relevant third party or Government Authority.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Cars ERP and Peham (Private) Limited shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits

  • Loss of revenue

  • Loss of business

  • Loss of customers

  • Loss of business opportunities

  • Loss of data

  • Business interruption

  • Loss resulting from user error or misuse

  • Incorrect vehicle or customer information

  • Tax penalties or government fines

  • Additional taxes, surcharges, or regulatory penalties

  • Legal expenses arising from the Customer’s business activities

  • Failure or unavailability of third-party services

Cars ERP is not responsible for any audit, investigation, notice, penalty, fine, seizure, prosecution, or other regulatory action arising from the Customer’s business, data, transactions, tax obligations, vehicle records, or failure to comply with Applicable Laws.

Our total aggregate liability arising from any claim relating to the Service or these Terms shall not exceed the total subscription fees actually paid by you to Cars ERP during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including liability arising from fraud or willful misconduct.

12. Account Suspension and Termination

We may suspend or terminate your account if you:

  • Breach these Terms.

  • Fail to pay subscription fees when due.

  • Engage in unlawful, fraudulent, or deceptive activities.

  • Misuse the Service.

  • Attempt to compromise the security or integrity of the Service.

  • Provide false or fraudulent information.

  • Use the Service in a manner that creates significant legal, security, or regulatory risk.

We may also suspend or terminate access where required by a valid legal or governmental order.

Upon termination:

  • Your right to access the Service will cease.

  • You may request an export of your Customer Data within 30 days after termination, subject to applicable technical and contractual limitations.

  • Data may be retained for a limited period according to our data retention policies.

  • Data may subsequently be permanently deleted in accordance with our applicable retention practices.

You remain responsible for any unpaid fees or obligations incurred before termination.

13. Privacy

Your use of Cars ERP is also governed by our Privacy Policy, which explains how we collect, use, store, process, and protect personal and business information.

By using Cars ERP, you acknowledge and agree to our Privacy Policy.

You are responsible for ensuring that your collection and use of information relating to your customers, employees, suppliers, and other individuals through Cars ERP complies with Applicable Laws and any required consent or authorization requirements.

14. Indemnification

You agree to defend, indemnify, and hold harmless Peham (Private) Limited, its directors, officers, employees, contractors, and agents from and against claims, demands, proceedings, investigations, fines, penalties, damages, losses, and reasonable legal expenses arising from or relating to:

  • Your use or misuse of Cars ERP.

  • Inaccurate, incomplete, fraudulent, or unauthorized data entered into the Service.

  • Incorrect vehicle, customer, supplier, financial, or transaction information.

  • Your violation of Applicable Laws.

  • Your breach of these Terms.

  • Fraudulent or unlawful vehicle transactions conducted through your business.

  • Any audit, investigation, or enforcement action relating to your business.

  • Claims brought by your customers, employees, suppliers, or Authorized Users arising from your business operations.

These obligations survive termination of your account.

15. Changes to These Terms

We may update these Terms from time to time.

Changes may be communicated through:

  • Email

  • In-application notifications

  • Our website

  • Other reasonable communication methods

Material changes may be communicated before they become effective where reasonably practicable.

The updated Terms will include a revised “Last Updated” date.

Continued use of Cars ERP after the updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree with the revised Terms, you must stop using the Service and may terminate your subscription in accordance with the applicable subscription terms.

16. Governing Law and Contact Information

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles.

The parties shall first attempt to resolve any dispute through good-faith negotiation.

If a dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be subject to the jurisdiction of the competent courts of Islamabad, Pakistan, unless otherwise required by applicable law.
